Shareholder and partnership disputes

A large part of the practice is shareholder and partnership conflict, which the firm calls a business divorce. This covers deadlock and lockout situations under Illinois law, set out at 805 ILCS 5/12.56. That statute lets a shareholder in a closely held corporation ask a court for relief when the owners reach an impasse.

One owner petitions the court, the parties exchange financial records, and a judge weighs remedies that can include a buyout, the appointment of a custodian, or, in harder cases, dissolution of the company. Getting those terms right at formation can head off the deadlock disputes the firm litigates later. The firm handles legal malpractice claims for both plaintiffs and defendants. A malpractice case asks whether a lawyer breached a duty to a client and whether that breach caused a loss. Proving it often means trying the underlying matter a second time, to show what the outcome should have been. Standing on both sides of these claims gives the firm a full view of how they are built and how they are met.

Edward X. Clinton, Jr. works on legal ethics questions for other lawyers. He has represented attorneys who received grievance letters from the Illinois Attorney Registration and Disciplinary Commission. The Commission reviews complaints against lawyers and can recommend discipline, so a response to one of its letters carries real weight. He has also testified as an expert witness in legal malpractice cases, on both sides, and he has taught continuing legal education courses on malpractice and ethics.
